Corporate Paralegal

Job Description

Stepan is seeking a dynamic, experienced Corporate Paralegal to join our legal team. In this critical role, you will collaborate with and support the Legal team on various corporate matters, including corporate governance, securities, transactional, finance and real estate matters.  Your expertise will be instrumental in ensuring compliance with various rules and regulations both inside and outside the U.S.  As part of our global chemical company, you’ll work closely with the Legal team and across the organization at all levels.
Responsibilities:
• Overseeing subsidiary corporate governance, including the implementation and maintenance of an entity management system.
• Handling corporate secretarial matters such as data requests, annual compliance materials, and secretary certificates, and liaising with registered agents.
• Assisting with corporate governance disclosures, including maintaining the Corporate Governance section of Stepan’s website.
• Preparing securities filings, including Section 16 filings and Form 8-Ks, and maintaining related records.
• Assisting with officer and director onboarding.
• Preparing materials for board, committee, and stockholder meetings.
• Supporting corporate transactional/M&A matters.
• Assisting on finance matters, including coordinating the execution, notarization and apostille of documents.
• Managing real estate records and supporting real estate transactions.
• Providing general support to the Legal team and assisting with special projects as needed.
• Facilitating cross-functional relationships among the Legal team and other functions, including the finance, business development, HR, and communications teams.

Qualifications

• A minimum of five years of relevant experience in a law firm or corporate legal department.  Prior in-house experience with a manufacturing company preferred.
• Ability to handle multiple matters and maintain discretion and confidentiality
• Demonstrated ability to collaborate effectively with various stakeholders across multiple teams.
• Comfortable with identifying, assessing and escalating issues, as needed
• Excellent communication and organizational skills with attention to detail.

Education

• Bachelor’s degree in Paralegal Studies or Legal Studies or Bachelor’s degree and a Paralegal Certificate from an ABA-accredited program, preferred.
